Terms of Service

Welcome to GenAI Digital NZ. By accessing our website, services, or AI tools ("The Engine"), you agree to be bound by these Terms. If you do not agree, do not engage with the system.

1. Services & Engagement

We provide digital agency services and AI-powered software tools. The specific scope of work for agency services will be outlined in a separate Statement of Work (SOW).

2. Intellectual Property (IP)

We respect intellectual property. Here is how we handle it:

  • Our IP (The Engine): GenAI Digital NZ retains all ownership rights to our pre-existing code, AI models, methodologies, and tools used to create your deliverables.
  • Your IP (The Deliverables): Upon full payment, you are granted a perpetual, non-exclusive license to use the specific deliverables (e.g., website code, designs) for your business purposes.

3. AI Disclaimer & Hallucinations

WARNING: EXPERIMENTAL TECHNOLOGY
Our tools (including FarmMate.Ai and BuildCode.Bot) utilize Generative AI. Outputs are probabilistic, not deterministic. This means the system may produce errors, inaccuracies, or "hallucinations."

Information provided by our AI tools is for advisory and exploration purposes only. It is NOT a substitute for professional legal, agricultural, financial, or engineering advice. You must verify all AI-generated outputs with a qualified human professional before taking action. We accept no liability for actions taken based on unverified AI advice.

4. Business Use & Consumer Guarantees Act

If you are acquiring our services for the purposes of a business (B2B), the following applies:

  • Contract Out: The parties acknowledge and agree that the services are acquired for the purposes of a business and that the provisions of the Consumer Guarantees Act 1993 shall not apply to the maximum extent permitted by law.
  • Fair Trading: Section 9, 12A, 13, and 14(1) of the Fair Trading Act 1986 are contracted out of if you are in trade.

5. Limitation of Liability

To the maximum extent permitted by NZ law, GenAI Digital NZ’s liability for any claim arising out of these terms or our services (whether in contract, tort, or otherwise) is limited to the fees paid by you for the specific service giving rise to the claim in the 6 months preceding the event.

6. Platform Compliance

If we manage advertising campaigns for you, you agree to comply with Google and Meta's AI content policies, including the disclosure of synthetic media. You indemnify us against any penalties resulting from non-compliant assets you provide.

7. Governing Law

These terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.
